1. Acceptance of Terms
By accessing or using InventoryOS, operated by InventoryOS LLC (“the Service,” “we,” “us,” or “our”), including the website at inventory-os.com, the application at app.inventory-os.com, and any associated software, you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.
2. Description of Service
InventoryOS is a cloud-based device inventory management platform that provides:
- Real-time device tracking across your organization
- Software inventory and license visibility
- Compliance monitoring and reporting
- A web dashboard for viewing and managing inventory data
- A lightweight endpoint agent for collecting device telemetry
We reserve the right to modify, enhance, or discontinue features of the Service at any time. We will make reasonable efforts to provide advance notice of material changes that affect your use of the Service.
3. Account Registration
To use the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Be at least 16 years of age
- Maintain the security of your account credentials and notify us promptly of any unauthorized access
- Use one account per individual; organizations may have multiple members with separate accounts under a shared organization
You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to protect your credentials.
4. Subscription and Billing
Plans. InventoryOS offers Starter and Professional plans, billed monthly or annually. Pricing is based on the number of active enrolled devices in your organization.
Free Trial. New customers receive a 14-day free trial with no credit card required. At the end of the trial, you may choose to subscribe to a paid plan or your account will be downgraded.
Payment. Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Subscriptions automatically renew unless you cancel before the renewal date.
Refunds. For annual plans cancelled within the first 30 days, we will issue a prorated refund. Monthly plans are not eligible for refunds. Refund requests should be sent to hello@inventory-os.com.
Price Changes. We may change our pricing with at least 30 days’ advance notice. Price changes will apply at the start of your next billing cycle. Continued use of the Service after the change constitutes acceptance of the new pricing.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service in violation of any applicable laws or regulations
- Monitor or collect data from devices without proper authorization from the device owner or your organization
- Attempt to reverse engineer, decompile, disassemble, or hack the Service or the InventoryOS agent
- Disrupt or interfere with the integrity or performance of the Service
- Use the API in a manner that exceeds reasonable rate limits or places undue burden on our infrastructure
- Resell or redistribute access to the Service without a separate written agreement (managed service provider partners with approved MSP agreements are excepted)
We reserve the right to investigate violations of these Terms and to take appropriate action, including suspension or termination of your account.
6. The InventoryOS Agent
The InventoryOS agent is software that you install on devices you manage. By deploying the agent, you acknowledge and agree that:
- You have the legal right and authorization to install software on the devices under your management
- The agent collects device telemetry, including hardware information, operating system details, installed software, and network configuration
- This data is transmitted securely to InventoryOS servers to provide the Service
- You may uninstall the agent at any time from any device
You are solely responsible for ensuring that your use of the agent complies with your organization’s policies and any applicable employment, privacy, or monitoring laws.
7. Data Ownership
Your Data. You retain ownership of all data you provide to the Service, including device information, organization data, configurations, and custom settings.
License to Process. You grant us a limited, non-exclusive license to process your data solely for the purpose of providing, operating, and improving the Service. We do not sell your data to third parties.
Export. You may export your data at any time through the Service dashboard or by contacting us.
Deletion. Upon account deletion, we will remove your data from our systems within 30 days, except where retention is required by law.
8. Intellectual Property
The InventoryOS platform, including the web application, agent software, branding, logos, and documentation, is our intellectual property or that of our licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited, non-exclusive, revocable license to use the Service during your subscription term for its intended purpose.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
10. Service Availability
We strive to maintain high availability and aim for 99.9% uptime. However, we do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with advance notice when possible.
We are not liable for downtime, delays, or failures caused by factors outside our reasonable control, including third-party service providers, internet outages, acts of God, war, terrorism, or other force majeure events.
11. Limitation of Liability
Disclaimer. The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Exclusion of Damages. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, arising from your use of the Service.
Cap on Liability. Our total liability for any claims arising from or related to the Service is limited to the fees you paid to us in the 12 months preceding the claim.
Data Decisions. We are not responsible for any decisions you make based on data or reports provided by the Service. You are solely responsible for verifying the accuracy of the data and ensuring it meets your needs.
12. Indemnification
You agree to indemnify, defend, and hold harmless InventoryOS LLC, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data or content you submit to the Service. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.
13. Termination
Cancellation by You. You may cancel your subscription at any time from your account settings. Cancellation will take effect at the end of your current billing period.
Termination by Us. We may suspend or terminate your access to the Service immediately if you violate these Terms or for any other reason at our discretion. We will make reasonable efforts to provide notice when feasible.
Effect of Termination. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, during which you may contact us to export your data. After 30 days, your data will be deleted from our systems.
14. Changes to Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days’ notice by email or through a prominent notice in the Service. The “Last updated” date at the top of this page will reflect the most recent revision.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may cancel your account.
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction of such courts.
